These Terms of Service ("Terms") govern your access to and use of Innopo OS (the "Platform"), operated by Innopo ("Innopo", "we", "us", or "our").

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. About Innopo OS

Innopo OS is a modular operating system for business systems. The Platform enables authorised users to view, manage, document, and evolve systems, projects, and partner platforms using structured components, versioning, and documentation.

Innopo OS is provided on a business-to-business basis and is not intended for consumer use.

2. Eligibility & Account Access

2.1 Business Use

The Platform is intended for use by:

  • businesses,
  • professional users,
  • and authorised representatives of organisations.

You confirm that you are using the Platform in the course of business and not as a consumer.

2.2 Account Creation

Access is provided on an invite-only or approval basis. You must provide accurate, complete, and up-to-date information when using the Platform.

2.3 Account Security

You are responsible for:

  • maintaining the confidentiality of your login credentials, and
  • all activity carried out under your account.

You must notify us immediately if you become aware of any unauthorised access.

3. User Roles & Permissions

Access to the Platform is governed by role-based permissions.

3.1 Admins

Admins have full access to the Platform, including the ability to create, edit, publish, assign, and manage systems, projects, platforms, and organisations.

3.2 Editors

Editors may create and manage systems, projects, and platforms, subject to restrictions on deletion, publication, or organisational control as determined by Innopo.

3.3 Partners

Partners may access only those systems, projects, and platforms explicitly assigned to their organisation.

Partners:

  • do not have access to the full Systems Library, and
  • may not independently create or modify components unless expressly agreed in writing.

4. Organisations & Workspaces

The Platform supports multiple users within a single organisation ("Workspace"). All data, systems, and projects are scoped to the organisation to which they are assigned.

Users must not attempt to access data belonging to any other organisation.

5. Platform Content & Documentation

5.1 Content

The Platform may include:

  • system documentation,
  • architectural descriptions,
  • workflows,
  • configuration guidance,
  • version histories and changelogs.

5.2 Visibility Controls

Certain content may be restricted to:

  • Innopo internal users only, or
  • specific partner organisations.

You must not attempt to bypass, copy, extract, or disclose restricted content.

6. Intellectual Property

6.1 Innopo Intellectual Property

All intellectual property rights in the Platform, including but not limited to:

  • system structures,
  • documentation frameworks,
  • component models,
  • platform design and architecture,

are owned by or licensed to Innopo, unless otherwise agreed in writing.

6.2 Partner Materials

Partners retain ownership of their own pre-existing intellectual property supplied to Innopo, unless otherwise agreed under a separate written agreement.

6.3 Licence

Innopo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during the term of your access.

7. Versioning, Updates & Deprecation

7.1 Versioning

Systems, projects, and platforms may be versioned to reflect updates, improvements, or structural changes.

7.2 Risk Classification

Updates may be categorised by indicative risk levels (e.g. low, medium, high). These classifications are provided for informational purposes only and do not constitute a warranty or guarantee.

7.3 Deprecation

Innopo may mark components as deprecated. Deprecated components may continue to function but may no longer be supported, maintained, or recommended.

8. No Professional Advice

The Platform provides informational and operational guidance only.

Nothing within Innopo OS constitutes:

  • legal advice,
  • financial advice,
  • regulatory or compliance advice,
  • or professional certification.

You are solely responsible for assessing the suitability of any system, recommendation, or documentation for your business.

9. Acceptable Use

You must not:

  • misuse or interfere with the Platform,
  • attempt unauthorised access,
  • copy, distribute, or disclose Platform content without permission,
  • use the Platform for unlawful purposes.

Innopo reserves the right to suspend or terminate access for breaches of these Terms.

10. Availability & Changes

While we aim to provide reliable access, the Platform is provided on an "as available" basis. We do not guarantee uninterrupted or error-free availability.

Innopo may modify, enhance, or withdraw features of the Platform at any time.

11. Suspension & Termination

Innopo may suspend or terminate access:

  • where these Terms are breached,
  • where required by law,
  • or for operational, security, or strategic reasons.

Upon termination, access to the Platform and its content may be withdrawn.

12. Limitation of Liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence,
  • fraud or fraudulent misrepresentation,
  • or any other liability that cannot be excluded under English law.

Subject to the above, Innopo shall not be liable for:

  • loss of profits, revenue, or business,
  • loss of data,
  • indirect or consequential losses,

arising from the use of the Platform.

13. Indemnity

You agree to indemnify and hold Innopo harmless against any claims, losses, or liabilities arising from your misuse of the Platform or breach of these Terms.

14. Data Protection

Innopo processes personal data in accordance with:

  • the UK General Data Protection Regulation (UK GDPR), and
  • the Data Protection Act 2018.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms or the use of the Platform.

16. Changes to These Terms

Innopo may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
